Welcome to ModMount.io, the review automation service operated by MODMOUNT LLC (“ModMount,” “we,” “us,” or “our”).

These Terms govern access to and use of ModMount by business customers (“Client,” “you,” or “your”) and the people authorized to use the Service for that Client. ModMount.io is separate from ModMount.com.


1. Quick Summary

This summary is here to make the Terms easier to understand. It is not a substitute for the full Terms.

  • ModMount helps local businesses request Google reviews, manage review replies, display review proof, create review-derived social assets, publish eligible posts, run managed email workflows, and receive reports.
  • You are responsible for the customer data, provider accounts, business profiles, sender domains, content, review practices, and instructions you give ModMount.
  • ModMount depends on providers such as Google, Meta, Resend, ThriveCart, Supabase, Cloudflare, OpenAI, and related service providers. Provider changes can affect features.
  • ModMount may pause sending, publishing, or other features to protect recipients, sender reputation, provider access, security, or the Service.
  • Prices are not listed in these Terms. Current pricing and plan details are shown on the website, in the portal, in the checkout, or in the applicable manage-plan flow.
  • Eligible Review Automation and Social Automation subscriptions may include the 100-Review First-Year Guarantee described in Section 13.1. If an eligible Account finishes its first year below 100 Qualifying Reviews and satisfies the guarantee requirements, ModMount waives future recurring base-plan charges while service stays active until the Account reaches 100 or the six-month Free-Service Period ends, whichever occurs first.
  • Subscriptions renew automatically until canceled. Cancellation normally takes effect at the end of the current paid period.
  • Except for qualifying small claims, disputes must be resolved through individual arbitration, not a class, collective, consolidated, or representative proceeding.
  • These Terms include and incorporate by reference the separate Referral Program Terms. By agreeing to these Terms, you also agree to the Referral Program Terms where they apply.

If any summary, tooltip, FAQ, help article, demo, sales page, or support answer conflicts with these Terms, these Terms control unless a signed written agreement or Purchase Terms expressly say otherwise.


2. Agreement And Precedence

By creating an account, accessing the portal, connecting a provider, importing data, using the Service, authorizing a checkout, buying a plan or add-on, or clicking or checking any acceptance control that references these Terms, you agree to these Terms.

If you do not agree to these Terms, do not access or use ModMount.

These Terms include and incorporate by reference the Referral Program Terms.

If you use ModMount on behalf of a business, you represent that you have authority to bind that business. The business is the Client under these Terms.

If binding documents conflict, they control in this order:

  1. A signed written agreement between you and ModMount.
  2. Purchase Terms.
  3. These Terms.
  4. The Referral Program Terms, but only for Referral Program matters and subject to these Terms.

The Privacy Policy is a separate notice describing ModMount’s information practices. It does not change the binding order above.


3. Definitions

  • Account means the business profile, settings, users, locations, connected providers, provider state, subscription state, records, assets, reports, credits, and related configuration for a Client.
  • Authorized User means anyone the Client permits to access or use the Service, including Owners, Managers, Staff, and Operators.
  • Broadcast Campaign means a managed one-time email campaign delivered through ModMount’s Email Automation service.
  • Client means the business that owns or controls the Account.
  • Connected Provider or Provider Platform means a third-party system connected to or used by the Service, including Google Business Profile, Google Sheets, Meta or Instagram, Resend, ThriveCart, Supabase, Cloudflare, OpenAI, Emailit if used, Intercom if used, and similar providers.
  • Customer Data means contact, order, purchase, review, reply, email-event, suppression, widget, asset, report, provider, billing, support, operational, and account data supplied by, collected for, or processed on behalf of a Client.
  • End Customer means a Client’s customer, contact, reviewer, purchaser, subscriber, or other recipient.
  • Generated Asset means a reply draft, caption, feed image, story image, report, widget output, file, export, email asset, or other output generated, formatted, rendered, or assembled through the Service.
  • Google Business Profile means Google’s business listing platform and related APIs used to sync business profiles, locations, reviews, replies, metrics, and related state.
  • Lifetime Plan means a plan sold as lifetime access to the applicable ModMount product or service plan, as defined in Section 13.
  • Operator means ModMount personnel or approved contractors acting for setup, support, quality control, managed service delivery, recovery, troubleshooting, or account operations.
  • Owner means an Authorized User with account-level authority, including billing, team, provider, location, setup, and high-risk account actions.
  • Portal means the authenticated ModMount account area, dashboard, or protected application surface.
  • Purchase Terms means the plan, price, feature, allowance, billing, refund, add-on, or other terms displayed and accepted at checkout, in a manage-plan flow, or in an order form.
  • Review Request Credits means account-limited service credits used only for eligible review-request overflow after the included monthly allowance is exhausted.
  • Review Request Flow means one transactional review request tied to a real customer event or approved import, plus one eligible follow-up where configured.
  • Security Incident means confirmed unauthorized access to, acquisition, alteration, disclosure, or loss of Customer Data in a party’s control that materially affects the Service, Account, or Customer Data.
  • Service means ModMount.io, the Portal, review automation, social asset generation and publishing, managed Email Automation, widgets, reports, support, provider integrations, downloads, operational workflows, and related services.

4. Eligibility And Accounts

ModMount is for business use by approved local businesses.

You represent that:

  • You are at least 18 years old and old enough to form a binding contract where you live.
  • You are authorized to bind the Client to these Terms.
  • You are authorized to manage each connected domain, sender identity, provider account, Google Business Profile account, Google Business Profile location, intake source, and customer-data source.
  • You have the rights and permissions needed to provide Customer Data to ModMount and to instruct ModMount to process it.
  • Your Account information, billing information, provider information, sender information, and business information are accurate and current.
  • You will comply with laws, provider rules, platform rules, industry rules, and customer-facing obligations that apply to your business, customers, communications, reviews, testimonials, advertising, content, and services.

You are responsible for all activity under your Account and for all Authorized Users. You must keep credentials secure, use reasonable access controls, remove access when it is no longer needed, and promptly notify ModMount of suspected unauthorized access, credential compromise, or account misuse.

ModMount does not provide legal, tax, advertising compliance, deliverability, platform-policy, or business-compliance advice.


5. Service Scope And Setup

Depending on your Purchase Terms, setup, providers, and readiness state, ModMount may provide:

  • Review-request workflows tied to real customer events or approved imports.
  • Google Business Profile connection, location selection, review sync, reply drafting, reply approval, reply publishing, moderation-state tracking, and reporting.
  • Website widgets that display eligible review proof.
  • Review-derived feed and story assets, captions, downloads, queues, schedules, and eligible provider publishing.
  • Weekly reporting and downloadable files. Reports are informational operational summaries based on available provider and account data, and may reflect provider delays, missing data, failed sends, suppressions, setup issues, or other delivery issues.
  • Review Request Credits for eligible review-request overflow.
  • Managed Email Automation, including defined retention flows, flow mapping, subscriber handling, monitoring, and Broadcast Campaigns where included.
  • Support, troubleshooting, account configuration, provider recovery, and Operator assistance.

Setup may include provider connections, sender domains, intake sources, templates, brand settings, widgets, reports, social defaults, team access, billing links, and managed email workflows. You authorize Operators to perform setup, onboarding, provider recovery, sender-domain and email-readiness work, customer-intake validation, feature configuration, managed email delivery, quality control, support, security, abuse prevention, and service recovery.

Operators will not intentionally make high-risk changes outside the Service scope unless authorized by an Owner, required by provider rules, or needed to protect the Client, recipients, providers, ModMount, or the Service from legal, security, abuse, payment, or platform risk.

Production automation may require an active plan or purchase, completed setup, verified sender domain, ready provider connections, required permissions, settled payment, and other service gates. Before payment, ModMount may permit configuration, read-only imports, or setup checks, but recurring sync, sending, publishing, reporting, managed intake, and other live activity remain gated.

Standard onboarding and integration setup calls are included where offered in the Purchase Terms. Nonstandard requests, custom implementation, unusual migrations, emergency work, large manual cleanups, custom exports, custom reports or templates, unsupported provider work, or work outside the purchased scope may require a separate quote or written approval.


You are responsible for all Customer Data and instructions you provide to ModMount.

You warrant that:

  • Your End Customer data comes from real customer relationships or another lawful source you are authorized to use.
  • You will not upload, import, send to, or process purchased, rented, scraped, harvested, guessed, unlawfully obtained, or unauthorized lists.
  • You have authority to use each sender domain, email address, business profile, provider account, logo, image, brand asset, review, content item, data source, and integration you connect or provide.
  • You have made any disclosures and obtained any consents required for ModMount to process Customer Data and send messages on your behalf.
  • Before you enable features that show reviewer names, photos, review media, review text, ratings, or similar testimonial details, you must establish the lawful basis for that display and obtain any required consent, notice, or permission.
  • Your offers, claims, replies, review practices, assets, emails, campaigns, and published content comply with applicable requirements.

For messages, replies, posts, assets, widgets, and reports created, sent, displayed, or published through the Service, you are the business authorizing the activity. ModMount acts on your instructions and under these Terms; ModMount does not become the seller, advertiser, reviewer, publisher, promoter, or sender for your business.

You must cooperate promptly with ModMount on sender-quality recovery, provider reviews, abuse complaints, recipient complaints, data requests, payment disputes, security incidents, and other issues that can affect the Account or Service. If you do not cooperate, ModMount may keep affected features paused or end affected service areas.

6.1 Data Processing For Clients

Where ModMount processes Customer Data as Client’s processor or service provider, the Client determines the purposes and instructions for that processing. ModMount independently determines the purposes and means of processing it performs for account administration, billing, support, security, fraud prevention, legal compliance, and enforcement.

For covered processor or service-provider processing, ModMount will:

  • Process Customer Data under the Client’s documented instructions in these Terms, account settings, support requests, and approved workflows, and as reasonably needed to provide, configure, support, secure, monitor, troubleshoot, and enforce the Service; prevent fraud, abuse, security threats, unwanted contact, and provider risk; perform analytics, debugging, service improvement, and development permitted by law; and meet legal, provider, audit, and operational requirements.
  • Notify the Client if ModMount reasonably believes an instruction violates applicable data-protection law, unless law prohibits notice.
  • Not sell covered personal data or share it for cross-context behavioral advertising, and not retain, use, or disclose it outside the direct business relationship where applicable law prohibits that activity.
  • Use aggregated or deidentified data for permitted purposes without attempting to reidentify it.
  • Require personnel and contractors with access to covered Customer Data to protect its confidentiality and limit access to what they reasonably need for authorized work.
  • Maintain reasonable administrative, technical, and organizational safeguards appropriate to the Service and the nature of the covered Customer Data.

The Client generally authorizes ModMount to engage the subprocessors identified in the Privacy Policy and other public subprocessor notices. ModMount will require subprocessors to protect covered Customer Data consistently with applicable obligations, remains responsible for their covered processing to the extent required by law, and will provide reasonable notice of material subprocessor changes. A Client may raise a legally grounded objection to a material change, and the parties will work in good faith on a reasonable resolution. If no reasonable resolution is available, either party may end the affected Service.

ModMount will provide reasonable assistance with valid individual-rights requests, security assessments, regulatory inquiries, and other data-protection obligations relating to covered processing, taking into account the nature of the processing and the information available to ModMount.

After termination of the affected Service or a verified Client request, ModMount will delete or return covered personal data within 90 days unless these Terms, the Privacy Policy, applicable law, provider requirements, or legitimate security, billing, suppression, audit, dispute, backup, or operational needs permit or require continued retention. Any retained covered data remains subject to the applicable protections in these Terms.

On reasonable written request, ModMount will provide documentation reasonably needed to demonstrate compliance with this Section. Audits must first use available reports, certifications, policies, questionnaires, and similar evidence. Any onsite or third-party audit is limited to what applicable law requires or what is reasonably necessary when that evidence is insufficient, and must protect confidentiality, security, other clients, and service availability.

The Client is responsible for lawful collection of Customer Data, lawful instructions, required notices and disclosures, required consents and permissions, and the accuracy and scope of its requests. If another part of these Terms conflicts with this Section for covered processor or service-provider processing, this Section controls that covered processing.


7. Connected Providers

By connecting a provider, asking ModMount to connect one, or using a provider-backed feature, you authorize ModMount to access, use, transmit, and process the provider data and instructions needed to provide that feature. This may include connecting selected accounts and resources; configuring sender domains; receiving approved customer or order events; drafting, queuing, approving, publishing, or tracking review replies and social assets; rendering widgets; and syncing purchase or subscription state.

You may connect only providers, domains, profiles, locations, accounts, and data sources that you own or are authorized to manage. You are responsible for keeping them in good standing and following provider rules that apply to your business, data, messages, reviews, replies, assets, campaigns, domains, and connected accounts.

Managed intake and source compatibility depend on access, permissions, usable sample payloads, field mapping, and ongoing provider availability. ModMount may decline, delay, or limit an intake path until an Operator confirms that the source can provide usable customer or order data.

Once ModMount submits a message, reply, post, asset, campaign, or other instruction to a provider, it may not be reversible. ModMount may not be able to cancel, recall, edit, hide, delete, or undo activity after the provider receives, accepts, publishes, processes, or queues it.

Provider terms, policies, limits, review processes, payment rules, data rules, content rules, and enforcement decisions also apply. Downtime, moderation, API limits, webhook failures, token expiration, policy changes, approval requirements, app-review outcomes, disconnections, rejected content, billing issues, security action, or provider enforcement may delay, degrade, restrict, suspend, or block affected features.

A provider API loss, restriction, delay, app-review outcome, permission change, disconnected account, rejected content, or similar provider-side issue does not by itself constitute a breach of contract or create a refund, credit, cancellation, or service-credit right.

ModMount is independent. Unless expressly stated in writing, ModMount is not affiliated with, endorsed by, sponsored by, certified by, approved by, or partnered with Google, Meta, Instagram, Google Business Profile, Resend, ThriveCart, or any other referenced provider or brand. Provider names identify only integrations, compatibility, workflows, or services.

7.1 Google Business Profile

Connecting Google Business Profile authorizes ModMount to access, sync, use, and process data from selected business profiles and locations for review sync, reply workflows, widgets, Generated Assets, reports, and account support. You may not use ModMount to access, claim, monitor, manage, or analyze unrelated businesses or leads.

For service reporting, product analytics, and marketing, ModMount may count a genuine Google review as added during the Client’s service period if Google first published it for a connected location on or after the later of the Account signup date or the date that location was connected to ModMount. This is a time-period attribution rule, not a representation that ModMount caused every such review. ModMount may use aggregated or deidentified counts and net review-count changes in marketing.

Google-sourced review display content follows the retention practices disclosed in the Privacy Policy. Operational records such as resource identifiers, timestamps, account links, audit logs, reply status, suppression state, and aggregated reporting data are not a permanent archive of that display content.

ModMount provides a reasonable disconnect process. After a verified request, ModMount will use reasonable efforts to disassociate the connected Business Profile account from its services within 7 business days unless provider downtime, incomplete authority verification, or required Client action prevents completion. Disconnecting may stop Google-dependent features.

If ModMount responds to Google reviews on your behalf, you authorize that action through account setup, a user action, an approval workflow, an auto-publish setting, or another specific consent path. You remain responsible for the final content of approved or auto-published replies. Unless an approved account setting changes the policy:

  • 1-3 star replies remain drafts.
  • 4-5 star replies may auto-publish after the configured delay only when enabled.
  • Blank or whitespace-only replies do not publish.
  • Google-rejected replies may return for revision.

Google may reject, moderate, remove, hide, reorder, or stop displaying reviews, replies, business profile data, or related content and may change access, rates, permissions, approvals, policies, visibility, or integration behavior. ModMount does not guarantee Google ranking, review or profile visibility, review display, reply acceptance, or continued Google API access.

If Google Business Profile API access changes, is restricted, is delayed, or becomes unavailable, ModMount may continue available service through drafts, dashboard records, reports, exports, reconnect guidance, manual workflows, support guidance, or other reasonable alternatives. Some Google-dependent features may remain limited, delayed, incomplete, or unavailable.

7.2 Instagram Publishing

ModMount’s social scope is limited to review-derived feed and story assets, captions, downloads, queues, schedules, and eligible publishing. It is not a broad social media management suite.

Connecting Instagram, enabling publishing, scheduling a post, approving a queue, or clicking publish authorizes ModMount to send the selected assets, captions, media, and metadata to Instagram on your behalf.

Instagram automated publishing is a convenience layer for eligible prepared posts. If Instagram publishing access changes, is restricted, is delayed, or becomes unavailable, ModMount may continue providing feed and story assets, captions, weekly report email materials, dashboard previews, exports, manual-posting files, and files available for download from the dashboard.


8. Review Requests And Sending

Review Request Flows are transactional email messages tied to real customer events, approved imports, or permitted manual actions. Review requests are not a tool for cold outreach, list monetization, prospecting, unrelated advertising, or mass unsolicited messaging.

You are the sender of record and the business responsible for each Review Request Flow sent on your behalf, including recipient eligibility, sender identity, content, timing, and suppression handling.

Current service rules:

  • Ongoing flows include one initial request and one configurable follow-up.
  • Review requests should not include product promotion, coupons, or unrelated marketing copy.
  • Sender identities must accurately identify your business and must not impersonate a third party.
  • Sender domains must be verified before production sending.
  • ModMount may require a production sender domain to have a working website or business page that reasonably matches the Client, location, and sender identity.
  • If a sender domain is not verified, ModMount may ingest eligible events and queue eligible flows, but it must not send Review Request Flows from that sender domain.
  • If a contact already left a matched Google review for the same location, future automated intake should record the event without triggering another same-location Review Request Flow.
  • Opt-out, hard bounce, complaint, provider suppression, and manual Do Not Contact suppress future ModMount review requests account-wide for that contact.
  • A manual email-safe override clears only the email-verification gate. It does not clear Do Not Contact, opt-out, hard bounce, complaint, provider suppression, readiness, payment, monthly allowance, credit, or duplicate-flow gates.

ModMount may pause, throttle, reject, quarantine, or stop sending when sender quality, provider state, account configuration, customer data quality, payment status, consent concerns, recipient complaints, or provider policies create risk.

Current sender-quality thresholds are measured over a rolling 30-day window of review-request emails:

  • If at least 25 review-request emails were sent during the window, a hard-bounce rate at or above 2.4% may trigger warning and throttling, and a hard-bounce rate at or above 3.0% may pause sending.
  • If at least 25 review-request emails were sent during the window, a complaint rate at or above 0.048% may trigger warning and throttling, and a complaint rate at or above 0.06% may pause sending.
  • Before the 25-send rate gate applies, 3 hard bounces during the window may pause sending.
  • At warning, ModMount may reduce sending pace, including throttling review-request sending to 50% of the normal pace.
  • At pause, outbound review-request sending stops until cleanup, review, and recovery steps are complete.

Provider rules, abuse reports, security events, recipient risk, or unusual sending patterns may require stricter action than these thresholds.

You may not bypass sending pauses or sender-quality rules by creating new accounts, using alternate domains, editing contacts to avoid suppression, reimporting suppressed contacts, routing around ModMount controls, or otherwise trying to evade Service or provider limits.

A sender-quality pause blocks outbound Review Request Flow sending. Unless another issue applies, it does not block Portal access, CSV import, contact cleanup, Google review sync, review replies, social asset creation, widgets, weekly reports, or managed Email Automation work. Queued Review Request Flows may stay queued while sending is paused.

A sender-quality pause is normally a recovery action, not a cancellation event. Resuming sending may require cleanup, proof of consent, data removal, domain repair, lower bounce or complaint rates, a clean-list attestation, Operator review, provider review, or other corrective action.

Except for the billing remedy expressly stated in Section 13.1, ModMount does not guarantee deliverability, inbox placement, provider acceptance, open rates, click rates, review rates, review sentiment, star rating, Google ranking, profile visibility, revenue, or customer behavior.


9. Review Request Credits

Review Request Credits are account-limited service credits used only for eligible review-request overflow after the included monthly allowance is exhausted.

Current service rules:

  • Credit availability and purchase rules appear in the applicable Purchase Terms.
  • One Review Request Credit currently covers one eligible customer flow: initial review request, follow-up review request, review reply, and feed or story assets created from the resulting review.
  • New Accounts may receive one no-cost starter grant of 100 Review Request Credits when the current onboarding flow offers it. Starter credits are promotional service credits, not cash or paid credits.
  • Monthly included allowance is consumed before paid credits.
  • If the Account exhausts the monthly allowance and has no available Review Request Credits, eligible over-allowance Review Request Flows may queue until the next monthly reset instead of sending immediately.
  • Paid credits are not a separate campaign, subscription tier, or per-contact product.
  • Purchased credits do not expire while the Account remains open and in good standing, subject to these Terms and the applicable Purchase Terms.
  • Credits are not cash, stored value, gift cards, banked money, securities, or transferable property.
  • Credits are not redeemable for money and may not be sold, transferred, assigned, or exchanged outside the Account.
  • Credits may be removed or invalidated if the related purchase is refunded, reversed, disputed, charged back, fraudulent, or otherwise not settled.

ModMount may limit or refuse credit use where a request would violate these Terms, acceptable use rules, provider rules, sender-quality gates, payment gates, consent rules, suppression rules, or Service limits.


10. Widgets And Assets

By enabling widgets, social assets, reports, downloads, or related features, you authorize ModMount to display, transform, format, render, transmit, and reuse eligible review content for your own business website, social media, reporting, dashboard, and related service outputs.

If you enable reviewer names, photos/avatar thumbnails, review media, review text, ratings, or similar testimonial details, you are instructing ModMount to display that information for your business. ModMount acts on your instructions and does not decide whether that use is lawful for your customers, industry, or location.

Current service rules:

  • Widgets display eligible review proof while the relevant review content is currently available and within the allowed cache window.
  • You and authorized Operators may hide or archive reviews from widget display without deleting underlying lifecycle metadata.
  • Eligible reviews may become branded feed assets, story assets, captions, report files, dashboard downloads, and other Generated Assets on eligible plans.
  • Widgets may include a Powered by ModMount label or link unless a written plan or order term says otherwise.
  • Review content must not be fabricated, materially altered in a misleading way, or used to imply an incentive, endorsement, affiliation, guarantee, or outcome that does not exist.
  • Review and testimonial content must reflect the reviewer’s actual experience and must not be presented out of context.

ModMount does not guarantee that Generated Assets are unique, protectable, copyrightable, non-infringing, platform-compliant, or free from errors. You are responsible for final use of Generated Assets and for ensuring review, testimonial, endorsement, advertising, privacy, platform, intellectual-property, and business rules are followed.

Making a file available in the Portal, sending it by email, attaching it to a report, or otherwise providing a reasonable download or access path counts as delivery of that file or Generated Asset.


11. Email Automation And Broadcasts

Email Automation is a managed service area. It may include retention-flow planning, setup, monitoring, managed delivery, flow maps, subscriber handling, and Broadcast Campaigns where included in the applicable plan.

Unless the Purchase Terms say otherwise, Email Automation includes up to 4,500 active subscribers and up to 2 Broadcast Campaigns each month. The Purchase Terms govern any additional Broadcast Campaigns.

If a plan uses words such as “unlimited” for Email Automation sends or custom flows, that means no fixed send or custom-flow count inside the plan’s managed service scope. It does not remove compliance, consent, suppression, deliverability, payment, provider-risk, sender-quality, operational-capacity, or fair-use gates.

Email Automation is a managed service, not a self-serve email-flow builder unless the Purchase Terms say otherwise. ModMount may use Emailit, Resend, or other approved providers to support email workflows.

You are responsible for:

  • Providing accurate business, sender, domain, offer, list, and recipient-eligibility information.
  • Confirming that subscribers and recipients may lawfully receive the relevant emails.
  • Providing or approving campaign content, timing, offer details, segmentation, exclusions, suppression rules, company name, physical mailing address, reason for contact, unsubscribe handling, and other required business information.
  • Reviewing and approving managed campaign work where approval is required.
  • Keeping connected ecommerce, intake, provider, and subscriber sources accurate.

For Broadcast Campaigns, commercial emails, bulk emails, and similar managed email work, you must provide accurate sender identification, a valid physical mailing address, a truthful reason for contacting the recipient, and a working unsubscribe or opt-out path where required. You must honor unsubscribe, opt-out, complaint, and Do Not Contact requests promptly and no later than 7 calendar days after receipt unless ModMount applies the suppression sooner.

Missing inputs, late approvals, provider issues, sender-quality issues, payment issues, list-quality issues, or compliance concerns may delay, reschedule, limit, or block managed email work. Purchase Terms control included campaigns, subscriber limits, and other plan-specific inclusions.


12. AI And Automation

AI-generated replies, captions, emails, summaries, suggestions, and other outputs may be inaccurate, incomplete, repetitive, unexpected, or unsuitable. They are drafts and operational aids, not factual guarantees, final business statements, or legal, compliance, tax, safety, or other professional advice.

You are responsible for reviewing, editing, approving, publishing, rejecting, or disabling AI-generated content and for checking factual claims, offers, prices, regulated statements, and other material content before use. You remain responsible for content you approve or authorize ModMount to publish automatically.

Enabling an automated approval or publishing setting authorizes ModMount to act under that setting until you change or disable it. ModMount may block output that creates legal, provider, recipient, security, or platform risk.

ModMount does not use Client-owned Customer Data to train public or general-purpose AI models unless you expressly authorize that use in writing.


13. Plans And Billing

Subscription billing, one-time purchases, credits, add-ons, plan changes, payment plans, cancellation, taxes, invoices, and payment failures may be handled through ThriveCart or another approved billing provider.

Purchase Terms state current plan names, prices, billing periods, features, allowances, refund windows, payment-plan options, and add-on terms. Price changes do not alter completed purchases retroactively, but disclosed future subscription prices may apply at renewal, a later billing period, a plan change, or a new purchase.

Subscriptions automatically renew at the price and billing interval shown at checkout until canceled. By purchasing a subscription, you authorize each recurring charge. ModMount may change future renewal pricing with advance notice, but completed purchases are not repriced retroactively.

You may cancel through the available manage-plan flow or by contacting ModMount. Cancellation must be completed before the next charge and normally takes effect at the end of the current paid period. It stops future renewal but does not refund prior charges or unused portions of a billing period.

Each new plan purchase may be refunded if you request cancellation within 14 calendar days after its initial charge, even if you began using the Service. This refund period does not restart for renewals or installments and does not apply to fraud, abuse, unlawful use, chargebacks, or material breach. An approved refund ends access to the refunded plan and is returned through the original payment method where practicable. Credits, add-ons, custom work, and separately quoted services follow their Purchase Terms.

Fees do not include taxes unless the applicable checkout or invoice says otherwise. You are responsible for taxes, duties, levies, transaction fees, currency charges, payment-provider fees, and similar charges that apply to your purchase, except taxes based on ModMount’s income.

Monthly-to-annual, monthly-to-Lifetime, and annual-to-Lifetime upgrades are separate purchases. Unless the Purchase Terms say otherwise, prior payments are not prorated, refunded, credited, or applied. Canceling the prior plan creates no upgrade credit.

Before purchase, checkout will show the plan, charge, billing interval, renewal terms, material refund terms, and cancellation method. ModMount or its billing provider may retain the accepted Terms version, checkout details, timestamp, and consent record.

Outside the 14-day plan refund above, refunds are not owed unless the Purchase Terms, these Terms, or law requires one. This includes used service, sent messages, delivered reports, files or Generated Assets, consumed credits, setup or managed work already performed, and account action taken because of material breach, acceptable use violations, fraud, abuse, unlawful use, payment disputes, sender-quality evasion, or unauthorized data use.

Selected service locations define operational scope, review sync, reporting, permissions, and provider configuration. They do not multiply subscription price unless the Purchase Terms expressly say otherwise.

Chargebacks, payment disputes, fraud flags, unpaid invoices, reversed payments, failed payments, or unresolved billing issues may pause or end paid features, credits, campaigns, reports, provider work, support work, exports, and account access until resolved.

13.1 100-Review First-Year Guarantee

The 100-Review First-Year Guarantee waives eligible recurring base-plan charges under the conditions below. It is not a refund of first-year charges or a promise that Google will publish, retain, or display any review.

Eligibility And Period

  • The Guarantee applies to a Review Automation or Social Automation monthly or annual subscription purchased while the Guarantee is offered.
  • Email Automation, Lifetime Plans, trials, complimentary or comped Accounts, custom agreements, and one-time purchases are not eligible unless a signed written agreement expressly says otherwise.
  • Each Account receives one guarantee. Changing plan tier, billing cadence, connected locations, Authorized Users, ownership, or payment method does not restart the guarantee or create another guarantee period.
  • Switching between Review Automation and Social Automation or between monthly and annual billing does not restart the guarantee period. Switching to Email Automation, a Lifetime Plan, an ineligible custom agreement, or no paid plan ends guarantee eligibility.
  • The guarantee terms in effect when the eligible subscription is first purchased control that guarantee unless a signed written agreement expressly replaces them.
  • The guarantee period begins when the eligible subscription first enters paid active service.
  • The guarantee period ends 12 months after it begins, plus any documented period when ModMount’s own Service failure prevented the Account from sending review requests.
  • Delay caused by incomplete setup, missing data, disconnected providers, unverified sender domains, nonpayment, sender-quality issues, policy violations, failure to cooperate, or another Client-controlled condition does not extend the guarantee period.

Qualifying Reviews

A Qualifying Review is a unique, genuine Google review that satisfies all of these rules:

  • Reviews count across all connected Google Business Profile locations combined, not separately for each location. A review counts only if it is first published after the guarantee period begins and before the Free-Service Period ends for a location connected to the Account at that time. For a later-added location, only reviews first published after connection count; removing the location later does not remove reviews already earned there.
  • Reviews of every star rating and sentiment may count, whether they result from a ModMount request, an in-person request, organic customer activity, or another lawful source.
  • The review must remain publicly visible on Google for at least 30 consecutive days. Once it satisfies this requirement, later removal does not remove it from the count.
  • Each unique Google review counts once. A pre-existing review or an edit, update, transfer, move, merge, repost, or duplicate does not create a new Qualifying Review.
  • Purchased, fabricated, fake, incentivized, coerced, coordinated, insider, sentiment-conditioned, or otherwise manipulated reviews do not count.

Client Requirements

To qualify for the billing waiver, the Account must satisfy all of these requirements during the guarantee period:

  • Review requests must relate to genuine customer relationships, purchases, services, visits, or other approved customer events. Duplicate, test, fabricated, purchased, rented, scraped, harvested, or unauthorized contacts do not count.
  • The Client must keep its configured intake sources active and allow ModMount’s automation to operate normally.
  • The Client must pay charges when due, comply with these Terms and provider rules, complete required setup and recovery work, and respond reasonably to ModMount requests needed to operate or verify the Service.
  • A sending pause or delay caused by the Client’s data, domain, consent, payment, provider account, sender quality, policy violation, or failure to cooperate does not count as ModMount downtime and does not excuse these requirements. Review requests must be neutral and directed to genuine customers without regard to expected rating or sentiment. The Client may not use review gating, incentives, compensation, discounts, benefits, coercion, suppression, selective solicitation based on expected sentiment, insider campaigns, or other methods that violate Google rules or applicable requirements. Reviews obtained through a prohibited practice do not count, and a material or repeated violation may end guarantee eligibility.

Verification

  • After the guarantee period ends, ModMount will determine the number of Qualifying Reviews first published during that period. This is the Year-One Count. No claim is required.
  • ModMount will use available Google review identifiers and publication dates first, then available ModMount sync records, audit records, and reasonable manual verification if provider data is delayed or unavailable.
  • ModMount will provide the Client with the resulting count or make it available in the Portal.
  • The Client must report a specific counting error with supporting evidence within 30 calendar days after ModMount provides the count statement. ModMount will investigate and correct a confirmed error.

Free-Service Period And Exclusions

If an eligible Account finishes the guarantee period with a Year-One Count below 100 and has satisfied every guarantee requirement, the Free-Service Period begins at the first renewal or recurring payment otherwise due after the guarantee period.

  • During the Free-Service Period, ModMount waives each eligible monthly base-plan charge or defers the next eligible annual renewal. The Service remains active; the billing waiver does not place the Account or its automation in a paused service state.
  • ModMount will not collect an eligible recurring base-plan charge while guarantee eligibility is being verified.
  • The Free-Service Period ends when the Account reaches 100 Qualifying Reviews or six calendar months after it begins, whichever occurs first. Billing then resumes on the next scheduled monthly charge or, for an annual Account, with a new annual term. The period may end earlier if the Client cancels, becomes ineligible, or violates these Terms.
  • During the Free-Service Period, the Client must continue satisfying the account and review requirements above, remain on the same eligible plan unless ModMount approves a change, and stay in good standing. A plan, cadence, Account, or ownership change requires ModMount’s written approval to preserve the billing waiver.
  • The Guarantee does not refund charges paid for the first year or any earlier period, create cash value, or permit exchange for cash, credits, or another product. If ModMount confirms that it collected an eligible base-plan charge during verification or a valid Free-Service Period, ModMount will correct the error through a refund or account credit.

The billing waiver covers only the recurring base charge for the eligible Review Automation or Social Automation plan. It does not cover Review Request Credits, Broadcast Campaigns, Email Automation, add-ons, custom work, separately quoted services, taxes, duties, transaction fees, payment-provider fees, provider charges, or third-party charges.

Cancellation And Limits

  • Canceling the eligible subscription before the guarantee period ends forfeits the Guarantee. Canceling during the Free-Service Period ends the Service without creating a refund, credit, or cash payment. An approved refund under the separate 14-day refund policy ends the subscription and its Guarantee.
  • A material breach of these Terms or applicable provider review policies ends Guarantee eligibility.
  • The guarantee may not be sold, assigned, or transferred to another Account, Client, buyer, or business without ModMount’s written approval.

The billing waiver described in this Section 13.1 is the Client’s exclusive remedy for finishing the first year below 100 Qualifying Reviews. It does not guarantee review volume, review rate, rating, sentiment, Google ranking, profile visibility, customer behavior, revenue, or any Google-controlled outcome. Google controls whether reviews are accepted, published, retained, removed, or displayed. The other disclaimers and liability limits in these Terms remain in effect.

13.2 Lifetime Plans

Checkout, marketing, or support pages may describe a Lifetime Plan as a lifetime deal or LTD, but Lifetime Plan is the controlling term in these Terms.

A Lifetime Plan means access for the life of the applicable ModMount product or service plan, not for the lifetime of the buyer, business owner, account user, business entity, provider platform, or any third-party service.

Lifetime Plan buyers receive updates associated with the purchased plan while that plan, or a substantially similar successor plan, remains offered and supported by ModMount. A Lifetime Plan does not guarantee unchanged features, unchanged providers, unchanged APIs, uninterrupted access, unchanged usage limits, unchanged names, unchanged workflows, or indefinite operation of any third-party platform.

If ModMount replaces, renames, reorganizes, or moves a Lifetime Plan into a substantially similar successor plan, Lifetime Plan access may be mapped to that successor plan.

A temporary pause does not create a refund right.

If ModMount permanently ends a compliant Client’s Lifetime Plan for business or service reasons, or ends paid sending after reasonable sender-quality recovery review, ModMount will provide written notice and calculate:

“Base Price” means Lifetime Plan principal actually paid after discounts, excluding taxes and pass-through fees. “Total Days” means the days from purchase through its fifth anniversary. “Remaining Days” means the days from termination through that anniversary. The refund cannot be less than zero.

Access ends on the stated termination date. ModMount will cancel remaining installments and issue the refund within 30 days where practicable. Usage, setup, delivered work, messages, assets, and service value are not deducted. No prorated refund remains after the fifth anniversary.

Voluntary cancellation or nonuse does not qualify. No refund is owed for fraud, intentional abuse, unlawful use, attempts to bypass Service controls, unauthorized access, data misuse, or material breach unless required by law or the Purchase Terms.


14. Service Changes

ModMount may improve, replace, rename, reorganize, limit, suspend, or retire features, providers, workflows, plans, UI surfaces, reports, templates, assets, integrations, or operational processes.

Beta, preview, pilot, proof, experimental, early-access, or unreleased features may change, fail, be limited, be unavailable, or be removed at any time.

Sales conversations, demos, examples, prototypes, public roadmap items, planned features, expected timelines, support comments, and help-center articles do not create a binding commitment unless included in a signed written agreement or Purchase Terms.


15. Acceptable Use

You may not use ModMount to:

  • Send messages to people who are not real customers or who were obtained unlawfully.
  • Send spam, cold outreach, unsolicited bulk messaging, phishing, malware, credential-theft attempts, scams, or deceptive messages.
  • Use purchased, rented, scraped, harvested, guessed, brokered, or unauthorized lists.
  • Buy, sell, broker, fabricate, seed, manipulate, or fake reviews.
  • Condition incentives, compensation, discounts, refunds, benefits, or treatment on positive or negative review sentiment.
  • Suppress, discourage, hide, filter, or reroute negative reviews in a deceptive or unlawful way.
  • Publish replies, emails, assets, claims, or offers that are false, misleading, unlawful, threatening, harassing, discriminatory, infringing, deceptive, or platform-prohibited.
  • Upload, import, connect, or process data you are not authorized to use.
  • Access or attempt to access another account’s data or bypass security, billing, sender-quality, provider, suppression, rate-limit, or permission controls.
  • Scrape, crawl, harvest, copy, index, or automate access to the Service beyond ordinary browser use, public widget use, or an approved integration path.
  • Reverse engineer, decompile, disassemble, probe, scan, stress test, load test, interfere with, disrupt, or attempt to discover non-public source code, systems, vulnerabilities, keys, tokens, models, prompts, infrastructure, or security controls.
  • Exceed or ignore sender-quality thresholds, cleanup requirements, suppression requirements, opt-out requirements, or provider deliverability rules.
  • Create accounts, domains, imports, sender identities, or workflows to evade limits, pauses, suspensions, provider rules, or these Terms.
  • Misrepresent affiliation with ModMount, Google, Meta, Instagram, Resend, ThriveCart, or another provider.
  • Use the Service in a way that could harm recipients, providers, ModMount, other customers, sender reputation, provider access, security, or the integrity of the Service.

16. Security And Confidentiality

ModMount uses reasonable safeguards appropriate to the Service. No internet-connected system, provider, or workflow can be guaranteed perfectly secure or always available.

Each party will maintain reasonable safeguards for data and systems under its control and promptly notify the other of a Security Incident.

After confirming a Security Incident, ModMount will notify Client without undue delay and provide available information about the incident, affected data, mitigation, and recommended actions. Client remains responsible for notices to its customers unless law assigns that duty to ModMount.

The parties will cooperate in good faith, avoid misleading public statements, and preserve relevant evidence. Notice of an incident is not an admission of fault or liability.

Each party may receive non-public information from the other, including business information, customer information, setup details, provider information, pricing terms, workflows, support details, security information, and operational information. The receiving party must use that information only for the relationship under these Terms and protect it with reasonable care. This does not restrict information that is public, already known without a duty of confidentiality, independently developed, lawfully received from another source, or required to be disclosed by law, provider process, or court order.


17. Ownership And Licenses

You retain ownership of your lawful business information, brand assets, customer data, provider content, and materials you provide to ModMount, subject to the permissions needed for ModMount to provide the Service.

ModMount retains ownership of its software, source code, automation logic, workflows, prompts, prompt structures, templates, layouts, rendering systems, design systems, documentation, internal tools, operational processes, report formats, know-how, trademarks, branding, and other ModMount intellectual property.

You grant ModMount a limited license to host, process, use, transmit, transform, format, display, publish, reproduce, and create outputs from Customer Data and Client-provided materials as needed to provide, secure, support, operate, enforce, and improve the Service.

Generated Assets may combine Client materials, Customer Data, provider content, ModMount templates, ModMount layouts, and ModMount systems. Subject to these Terms, you may use delivered Generated Assets for your own business purposes. You do not receive ownership of ModMount’s underlying software, templates, automation logic, rendering systems, prompts, reusable structures, or internal workflows.

You represent that you have all rights needed to provide logos, images, brand assets, customer lists, order data, review content, provider content, and other materials supplied to or processed by ModMount.

ModMount will not publicly use your name or logo in marketing as a customer reference without your permission.

If you send ModMount ideas, suggestions, requests, issue reports, workflow improvements, feature requests, testimonials, comments, or other feedback, you grant ModMount the right to use that feedback without restriction, confidentiality obligation, attribution, or compensation unless a separate written agreement says otherwise.

If you believe content in the Service infringes your copyright or other intellectual-property rights, contact ModMount through the portal support channel or email help@modmount.io with enough detail for ModMount to identify the material, the claimed right, the affected account or URL if available, your contact information, and a statement that you are authorized to act for the rights holder.


18. Cancellation And Termination

Cancellation, disconnect, suspension, or termination may affect:

  • Production sending.
  • Sender domains.
  • Review sync and reply publishing.
  • Widgets and public embeds.
  • Social asset generation, scheduling, publishing, and downloads.
  • Email Automation and Broadcast Campaign work.
  • Reports and report delivery.
  • Provider tokens, webhooks, and connected accounts.
  • Billing and plan state.
  • Review Request Credits.
  • Support and Operator access.
  • Stored data, audit history, and suppression records.

Disconnecting a provider may immediately disable dependent features.

If you request an export, ModMount may provide reasonable access to available account data in a format ModMount chooses. Export rights do not include custom database dumps, raw provider payloads, internal logs, secrets, tokens, prompts, source code, proprietary workflows, security records, abuse records, or ModMount-owned systems.

ModMount may monitor, review, reject, quarantine, throttle, pause, suspend, or terminate an Account, Authorized User, provider connection, sender domain, import, campaign, workflow, message, provider action, content item, feature, or the Service if it appears to violate these Terms, provider policies, recipient protections, legal requirements, payment requirements, security requirements, or platform-health requirements, or if continued use creates material legal, provider, deliverability, security, payment, recipient, data, abuse, or platform risk.

Those actions do not by themselves create a refund right for used service, performed work, consumed credits, sent messages, delivered outputs, or settled purchases.


19. Warranties And Liability

The Service is provided on an “as is” and “as available” basis to the maximum extent permitted by law.

ModMount disclaims all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.

ModMount does not warrant that the Service will be uninterrupted, error-free, secure, timely, compatible with every provider, available at all times, or free from data loss or provider disruption.

Except for the billing remedy expressly stated in Section 13.1, ModMount does not guarantee review results, ratings, search ranking, customer behavior, revenue, deliverability, inbox placement, provider approval, provider access, AI output accuracy, reply acceptance, social publishing success, widget availability, or campaign performance.

Unless a signed written agreement, checkout-specific term, or order-specific term expressly says otherwise, ModMount does not provide an uptime service level agreement, guaranteed response time, or service credits for downtime, delay, provider failure, or feature unavailability.

To the maximum extent permitted by law, ModMount will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost business, lost goodwill, lost data, provider loss, ranking changes, customer claims, or business interruption.

To the maximum extent permitted by law, ModMount’s total liability for all claims relating to the Service will not exceed the amounts paid by the Client to ModMount for the affected Service during the three months before the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the limitations apply to the maximum extent permitted.


20. Indemnity

You will defend, indemnify, and hold ModMount harmless from claims, losses, damages, penalties, liabilities, costs, and expenses, including reasonable fees, arising from or related to:

  • Customer Data or Client-provided materials.
  • Your instructions, provider connections, sender domains, imports, recipient lists, or business practices.
  • Unauthorized provider access, unauthorized data use, or lack of required rights or consent.
  • Your content, offers, replies, emails, assets, reviews, testimonials, advertising, or published materials.
  • Your violation of these Terms, provider rules, applicable requirements, or third-party rights.
  • Your attempts to bypass sender-quality, suppression, payment, provider, security, or Service controls.
  • Claims by End Customers, recipients, providers, Authorized Users, or third parties connected to your use of the Service.

ModMount will promptly notify you of a covered third-party claim and reasonably cooperate at your expense. You may control the defense with qualified counsel, but you may not settle a claim that admits ModMount’s fault, imposes nonmonetary obligations on ModMount, or does not fully release ModMount without ModMount’s written consent. ModMount may participate with its own counsel at its own expense.


21. Disputes

Disputes follow these steps:

  1. Required informal resolution.
  2. Optional mediation if informal resolution fails.
  3. Individual binding arbitration unless the dispute qualifies for small claims.

21.1 Step 1: Informal Resolution

Before starting formal proceedings, the claimant must send written notice describing the dispute, requested resolution, and supporting facts. The parties will negotiate in good faith for at least 10 business days unless immediate provisional relief is needed.

21.2 Step 2: Optional Mediation

If informal resolution fails, either party may request mediation. The parties will select a neutral mediator within 30 days. Mediation will occur in Lehigh County, Pennsylvania, or another agreed location. Mediation costs are shared equally, and each party pays its own attorneys’ fees.

21.3 Step 3: Binding Arbitration

Except for qualifying small-claims matters, unresolved disputes will be decided by one arbitrator under the American Arbitration Association’s applicable rules. Arbitration will occur in Lehigh County, Pennsylvania. The award is final and may be enforced by any court with jurisdiction.

The arbitrator will allocate arbitration costs. Each party will pay its own attorneys’ fees unless law or the award provides otherwise.

21.4 Small Claims

A dispute under $10,000 may be brought individually in a court with lawful small-claims jurisdiction without mediation or arbitration.

21.5 Individual Proceedings

Disputes must be resolved individually. Neither party may participate in a class, collective, consolidated, or representative proceeding.

21.6 Claim Deadline

To the extent permitted by law, a claim must be filed within one year after it accrues.

21.7 Governing Law And Courts

Pennsylvania law governs these Terms without regard to conflict-of-law rules.

Permitted court proceedings, including small-claims actions, provisional relief, arbitration enforcement, and actions to compel arbitration, must be brought in the state or federal courts with jurisdiction over Lehigh County, Pennsylvania. Each party consents to those courts and waives objections based on inconvenient forum.


22. General Terms

22.1 Assignment

You may not assign or transfer these Terms or your Account without ModMount’s written consent. ModMount may assign these Terms to an affiliate, successor, acquirer, or entity involved in a merger, acquisition, reorganization, or asset sale.

22.2 Severability And Waiver

If a provision is unenforceable, it will be modified only as needed to make it enforceable. If it cannot be modified, it will be severed, and the remaining Terms will continue.

A waiver must be written. Failure to enforce a provision is not a waiver.

22.3 Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, public-health emergencies, government action, war, civil unrest, labor disruption, widespread cyberattack, utility or internet failure, provider outage, or infrastructure failure.

The affected party will provide reasonable notice and resume performance when practicable. Force majeure does not excuse accrued payment, confidentiality, data-protection, security-response, or refund obligations.

22.4 Notices

Legal, cancellation, termination, dispute, and security notices must be written and sent:

  • To ModMount: help@modmount.io
  • To Client: the primary email associated with the Account

Email notice is effective when sent unless the sender receives a delivery failure. Postal notice is effective three business days after mailing. Each party must keep its contact information current.

22.5 Terms Updates

ModMount may update these Terms as the Service, providers, requirements, or business model changes. Material changes will normally be posted with a revised “Last updated” date and communicated through email, in-app notice, checkout notice, or another reasonable channel.

Changes do not alter completed purchases retroactively unless the applicable purchase terms or law allow it. Continued use after changes take effect constitutes acceptance.

22.6 Survival

Payment, data, confidentiality, ownership, acceptable use, disclaimers, liability limits, indemnity, disputes, governing law, and provisions that should reasonably survive will remain effective after cancellation or termination.
