Referral Program Terms

These Referral Program Terms govern the ModMount.io Referral Program operated by MODMOUNT LLC (“ModMount,” “we,” “us,” or “our”).

These terms are incorporated by reference into the ModMount.io Terms Of Service. The Terms Of Service govern these Referral Program Terms. If these Referral Program Terms conflict with the Terms Of Service, the Terms Of Service control.


1. Overview

ModMount may allow Clients and approved non-clients to refer new local business customers to ModMount.

The Referral Program pays cash commissions for qualifying referred plan payments. It does not provide free product credits, service credits, account perks, or other non-cash referral rewards unless ModMount expressly says otherwise in writing.

There is no fee to participate in the Referral Program. Participation does not create free access to ModMount, discounted access to ModMount, or any customer account right.

Participation is not automatic for everyone. ModMount may approve, reject, suspend, or terminate any Participant in its discretion.


2. Definitions

  • Activation means the date and time when ModMount approves the Participant, records acceptance where required, issues or assigns a Referral Code, and enables Referral Program participation.
  • Affiliate means an approved non-client person or business participating in the Referral Program.
  • Clawback means a reversal, deduction, repayment obligation, or other adjustment after a Commission is credited, earned, payable, or paid.
  • Commission means a percentage-based payment for qualifying referred plan payments under these terms.
  • Commission Window means the 12-month period when a Participant can earn Commissions. For Referrers, it starts on the Client’s first successful paid ModMount plan purchase. For Affiliates, it starts on Affiliate Activation.
  • Commissionable Amount means the qualifying amount actually received by ModMount after exclusions, discounts, refunds, chargebacks, reversals, taxes, provider fees, processor fees, and non-commissionable amounts are removed.
  • Earned Commission means a Commission tied to a qualifying plan payment that was actually received by ModMount, properly attributed through a valid Referral Code, and not excluded under these terms.
  • Existing Client means a current Client, former Client, related business, successor business, replacement account, account under shared ownership or control, account with shared billing, or account created to continue or replace an existing Client relationship.
  • Good Standing means the Participant has no past-due account, unresolved chargeback, payment dispute, suspended account, terminated account, fraud review, payout block, tax block, prohibited activity, data misuse, unresolved compliance issue, or other issue that creates legal, payment, provider, brand, operational, or platform risk.
  • Participant means either a Referrer or an Affiliate.
  • Payable Commission means an Earned Commission that has passed reconciliation, refund and chargeback review, Tax Setup, Payout Setup, minimum-threshold, compliance, and Good Standing checks.
  • Payout Setup means the payout information, Direct Deposit Authorization, identity or business verification, and other payment information ModMount requires.
  • Qualifying Plan Payment means an eligible subscription plan payment or eligible Lifetime Plan payment actually received by ModMount during the Participant’s Commission Window.
  • Referral Code means the unique code ModMount issues, assigns, approves, or records for a Participant.
  • Referral Program means ModMount’s cash commission program for qualifying referred plan payments.
  • Referred Buyer means a new buyer who uses a valid Referral Code at checkout and is not an Existing Client.
  • Referrer means a ModMount Client business account participating in the Referral Program. A Referrer is the Client business, not an individual Authorized User.
  • Tax Setup means the tax forms, tax certifications, W-9, taxpayer information, and related information ModMount requires.
  • Valid Code means a Referral Code that is active, accepted at checkout, recorded by the checkout or provider, and not expired, disabled, misused, or invalidated.

3. Acceptance And Activation

By applying for the Referral Program, accepting a Referral Code, using a Referral Code, sharing a Referral Code, accessing a ThriveCart affiliate dashboard, promoting ModMount, or accepting a Commission payment, you agree to these Referral Program Terms and the ModMount.io Terms Of Service.

A Referrer may become eligible after the Client’s first successful paid ModMount plan purchase. Review Request Credits, Broadcast Campaigns, add-ons, bump offers, post-purchase upsells, custom work, setup work, or other non-plan purchases do not automatically activate referral eligibility.

An Affiliate becomes eligible only after ModMount approves the Affiliate, records acceptance of these terms, and issues or assigns a Referral Code.

Applying, asking about the program, talking with ModMount, booking a call, receiving draft information, receiving a draft code, or learning about program terms does not create Referral Program rights before Activation.

No Participant has Commission rights, payout rights, Referral Code rights, dashboard rights, or promotional rights before Activation.

ModMount may delay, deny, revoke, or repeat Activation if required information is missing, inaccurate, incomplete, expired, or creates legal, tax, payment, compliance, brand, operational, fraud, or platform risk.

Eligibility factors may include business fit, audience fit, compliance posture, marketing practices, reputation, customer alignment, payment risk, brand risk, operational risk, and any other factor ModMount considers relevant.

Onboarding may include identity or business verification, contact verification, Tax Setup, Payout Setup, Referral Code setup, review of disclosure rules, review of prohibited activity, and review of ModMount’s current offer.


4. Participant Types

A Referrer is a Client business account. If an Owner, Manager, Staff member, Operator, employee, contractor, or other Authorized User shares the Client’s Referral Code, the Client business remains the Referrer and owns any resulting Commission rights.

An Affiliate is an approved non-client person or business. Affiliates do not receive Client account rights, portal rights, product access, support rights, service rights, or customer privileges by participating in the Referral Program.

If an Affiliate later becomes a paying Client, the Affiliate becomes a Referrer. The original Commission Window does not restart unless ModMount expressly grants a new window in writing.

If a Referrer cancels the Client account, the Referrer does not automatically become an Affiliate. Separate Affiliate approval is required. Cancellation also ends future Client-referrer earnings.


5. Referral Codes And Attribution

ModMount controls Referral Code creation, approval, replacement, disabling, formatting, and availability.

A referral is commissionable only when the Referred Buyer enters the Participant’s Valid Code at checkout, the checkout accepts the code, and the code is recorded by ModMount’s checkout, provider, or accounting records.

No code used at checkout means no Commission and no retroactive discount. A verbal mention, email introduction, direct message, sales call, screenshot, or statement that the buyer forgot to use the code does not create Commission rights.

ModMount may correct true operational errors only when the Referral Code was actually used at checkout.

Only one Participant may receive Commission for a purchase or payment. Commissions are not split between Participants. If multiple codes or claims exist, the Valid Code recorded at checkout controls. If checkout records are ambiguous, ModMount’s records control.

Referral Codes may not be sold, transferred, assigned, leased, sublicensed, or delegated without ModMount’s prior written approval.

Referral discounts do not stack with other discounts, coupons, promotions, special terms, or negotiated offers unless ModMount or the checkout expressly allows stacking.

After a Participant’s Commission Window closes, the Referral Code may be disabled and should not create buyer discounts or Commissions.


6. Buyer Discount

A Referred Buyer currently receives 10% off the initial qualifying checkout payment or order when the Referred Buyer uses a Valid Code at checkout.

The discount applies only to the initial qualifying purchase unless the checkout or ModMount expressly says otherwise. Renewals, installments, future purchases, credits, add-ons, bump offers, post-purchase upsells, Broadcast Campaigns, custom work, setup work, taxes, and provider fees are not discounted unless the applicable checkout says otherwise.

Current plan prices, checkout terms, plan details, and discount availability are shown on the website, in the portal, or in the applicable checkout. Prices are not listed in these Referral Program Terms.


7. Commission

Participants currently earn 50% of the Commissionable Amount for Qualifying Plan Payments that ModMount actually receives during the Participant’s Commission Window.

Qualifying Plan Payments may include:

  • Subscription plan payments.
  • Eligible Lifetime Plan payments actually received.
  • Eligible renewal, upgrade, downgrade, or plan-change payments when the Referred Buyer remains properly attributed through the Valid Code and payment is received during the Commission Window.

Qualifying Plan Payments exclude:

  • Taxes, duties, processor fees, provider fees, and pass-through charges.
  • Discounts, credits, refunds, chargebacks, reversals, failed payments, and disputed amounts.
  • Review Request Credits.
  • Broadcast Campaigns.
  • Add-ons, bump offers, post-purchase upsells, custom work, nonstandard requests, setup work, managed work outside plan scope, and manually quoted services.
  • Purchases by Existing Clients.
  • Any amount ModMount reasonably treats as non-commissionable.

Example: if a Referred Buyer uses your Valid Code and buys a qualifying plan during your Commission Window, your Commission is currently 50% of the Commissionable Amount ModMount actually receives, after exclusions. Current plan prices are listed on the website, in the portal, or in checkout.

Lifetime Plan Commissions are based on eligible Lifetime Plan payments actually received, not on theoretical total order value or unpaid future installments.

A Commission is not payable merely because a purchase occurred. A Commission becomes payable only after reconciliation, refund and chargeback review, Tax Setup, Payout Setup, minimum-threshold checks, compliance review, and Good Standing checks.

ModMount does not guarantee earnings. Actual earnings depend on eligible referrals, buyer purchases, Valid Code use, payment settlement, checkout behavior, ModMount records, these terms, and continued program availability.


8. Commission Window

A Participant can earn Commissions only during the Participant’s Commission Window.

For Referrers, the Commission Window starts on the Client’s first successful paid ModMount plan purchase and lasts 12 months.

For Affiliates, the Commission Window starts on Affiliate Activation and lasts 12 months.

Commissions apply only to Qualifying Plan Payments that ModMount actually receives during the Commission Window, subject to these terms.

The Commission Window does not guarantee a fixed number of payments or a fixed payout amount. For example, a monthly plan referred near the start of the Commission Window may generate up to 12 monthly commissionable payments. An annual plan may generate one annual commissionable payment during the window. A Lifetime Plan may generate one commissionable Lifetime Plan payment during the window.

Payments received after the Commission Window closes are not commissionable unless ModMount expressly approves otherwise in writing.


9. Existing Customers And Excluded Referrals

A Referral Code may be used by a new buyer who was already aware of ModMount or already in conversation with ModMount, provided the buyer is not an Existing Client and the code is validly used at checkout.

Existing Clients do not generate referral Commissions even if they use a Referral Code.

Existing Clients include current Clients, former Clients, related businesses, successor businesses, replacement accounts, accounts under shared ownership or control, accounts with shared billing, and accounts created to continue or replace an existing Client relationship.

Existing Clients do not generate Commissions for renewals, upgrades, downgrades, reactivations, additional locations, add-ons, credits, Broadcast Campaigns, or new purchases unless ModMount expressly approves an exception in writing.

Self-referrals and related-party referrals are not allowed. This includes referrals involving the same person, owner, business entity, related entity, shared billing source, shared control, household relationship, employee relationship, contractor relationship, circular arrangement, duplicate identity, shell account, or coordinated attempt to create referral credit without a genuine new customer relationship.


10. Dashboard, Reporting, And Records

Participants may receive access to a ThriveCart affiliate dashboard or other reporting surface.

Any dashboard, sidebar, email, spreadsheet, statement, report, or other reporting is provided for operational convenience only. Reporting may lag checkout systems, provider records, accounting records, refunds, chargebacks, reversals, manual corrections, and payout review.

ModMount’s records control Referral Code status, attribution, Commission eligibility, exclusions, Clawbacks, payout timing, and payout amount.

If a Participant believes a Commission is missing for a purchase where the Referral Code was actually used at checkout, the Participant must notify ModMount with supporting details within 30 days of the relevant purchase or payment.

If the Referral Code was not used at checkout, the purchase is not commissionable.


11. Payouts, Taxes, And Forms

Eligible Commissions are reviewed monthly after reconciliation. ModMount may delay payout for refund windows, chargebacks, payment disputes, failed payments, fraud review, attribution review, tax setup, payout setup, provider issues, legal concerns, or suspected violations.

The minimum payout threshold is $100. Eligible unpaid Commissions below $100 carry forward until the threshold is met, subject to these terms, termination, forfeiture, and Clawbacks.

At launch, payout eligibility is limited to U.S. Participants. Payouts are made by manual direct deposit or ACH unless ModMount expressly approves another method.

Participants must provide accurate Tax Setup and Payout Setup information. ModMount may require a completed W-9, Direct Deposit Authorization, identity or business verification, and any other information needed to process payouts or tax reporting.

ModMount may withhold payouts if tax information is missing, invalid, expired, inconsistent, incomplete, or requires backup withholding.

ModMount may issue Form 1099-NEC or other required tax forms where applicable.

ModMount is not responsible for payout delays or losses caused by inaccurate, incomplete, expired, unauthorized, or outdated payout information supplied by the Participant.

If required Payout Setup or Tax Setup is incomplete, ModMount may hold unpaid Commissions. Unclaimed or blocked Commissions may be forfeited after 180 days, counted from the first date ModMount requests the missing setup information or the first date the Commission becomes otherwise payable, whichever is sooner.

Held Commissions do not accrue interest. Held Commissions are not stored value, gift cards, cash accounts, bank accounts, securities, escrowed funds, or property accounts.

Participants are responsible for all taxes, filings, expenses, licenses, and compliance obligations arising from referral income.


12. Clawbacks And Adjustments

Commissions are subject to reversal, withholding, deduction, Clawback, or repayment for:

  • Refunds, chargebacks, reversals, failed payments, duplicate payments, or payment disputes.
  • Fraud, abuse, fake purchases, coupon abuse, self-referrals, related-party referrals, shell accounts, circular referrals, or coordinated referral gaming.
  • Misattribution, provider correction, checkout correction, accounting correction, or operational error.
  • Violation of these Referral Program Terms or the Terms Of Service.
  • Unlawful, deceptive, misleading, or prohibited referral activity.

ModMount may deduct Clawbacks from future Commissions or request repayment when future Commissions are insufficient.


13. Marketing Rules And Disclosures

Participants must clearly disclose that they may earn a Commission when recommending ModMount or sharing a Referral Code.

Disclosures must be easy to understand, easy to notice, and placed in the same post, message, page, video, email, or communication where the recommendation or Referral Code appears. Disclosures must appear before or near the recommendation or code and before the buyer acts.

Disclosures must not be hidden behind links, profile pages, footers, vague hashtags, collapsed text, or unclear labels. Examples include: “I earn a commission if you use my ModMount code” or “Referral code. I may earn a commission.”

Participants may use current ModMount website copy, approved materials, and their Referral Code to describe ModMount truthfully. If current website, checkout, portal, or support information changes, Participants must stop using stale or inaccurate claims.

Participants may not quote custom pricing, promise discounts, extend refund windows, modify checkout terms, promise plan features, promise service timelines, promise support outcomes, or make commitments on behalf of ModMount.


14. Prohibited Activity

Participants must not:

  • Use paid ads, paid search, paid social, boosted posts, sponsored posts, sponsored placements, paid newsletter placements, paid directory placements, paid influencer placements, retargeting, custom-audience ads, or other paid promotion without ModMount’s prior written approval.
  • Bid on ModMount names, trademarks, misspellings, confusingly similar terms, competitor comparison terms, provider names, or prohibited paid-search placements.
  • Post Referral Codes on coupon, deal, rebate, cashback, browser-extension, discount-aggregation, or similar sites without ModMount’s prior written approval.
  • Use spam, scraped lists, purchased lists, rented lists, harvested lists, guessed contacts, cold mass outreach, unlawful email, unlawful text messages, robocalls, phishing, deceptive messages, or high-pressure marketing.
  • Ignore unsubscribe, opt-out, consent, platform, email, text-message, direct-message, or advertising requirements that apply to Participant’s marketing.
  • Misrepresent ModMount pricing, discounts, features, timelines, guarantees, legal compliance, provider access, customer outcomes, review results, rankings, revenue, deliverability, or availability.
  • Claim to work for, speak for, represent, bind, endorse, certify, or officially partner with ModMount unless ModMount expressly authorizes that statement in writing.
  • Claim that ModMount is affiliated with, endorsed by, sponsored by, certified by, approved by, or partnered with Google, Meta, Instagram, ThriveCart, Resend, Encharge, or any other provider unless ModMount expressly says so in writing.
  • Create websites, domains, handles, ads, social profiles, landing pages, groups, or materials that impersonate ModMount or confuse people about who operates the page.
  • Use fake purchases, self-referrals, related-party referrals, circular referrals, coupon abuse, shell accounts, fabricated buyers, duplicate identities, or other gaming behavior.
  • Redirect, intercept, overwrite, or manipulate another Participant’s attribution.
  • Collect prospect or customer information for ModMount unless ModMount approves a specific process in writing.
  • Sell, share, retain, or misuse prospect, buyer, customer, or ModMount information.
  • Use ModMount intellectual property outside approved promotional use.
  • Alter ModMount marks, imply ownership of ModMount materials, or register confusingly similar domains, handles, business names, ads, pages, groups, or marks.
  • Disparage ModMount to divert customers or Affiliates to a competing service.
  • Use Referral Program status to pressure buyers about support, billing, cancellation, refund, account, or service decisions.
  • Use the Referral Program in a way that creates legal, payment, provider, brand, operational, data, security, recipient, customer, or platform risk for ModMount.

ModMount may withhold Commissions, reverse Commissions, suspend participation, terminate participation, disable Referral Codes, revoke dashboard access, and pursue available remedies for prohibited activity.


15. Brand And Intellectual Property

ModMount owns the services, workflows, automations, names, trademarks, logos, service marks, website content, copywriting, imagery, product information, designs, documentation, screenshots, and other intellectual property.

During active participation, ModMount grants each Participant a limited, revocable, non-exclusive, non-transferable permission to use approved ModMount names and materials solely to promote ModMount under these terms.

ModMount may revoke this permission at any time.

Participants must not imply ownership of ModMount materials or present themselves as ModMount employees, agents, representatives, or official company accounts.


16. Data Protection

Participants must handle any prospect, buyer, customer, or ModMount information lawfully, securely, and only for the purpose disclosed to the person who provided it.

Participants must not collect personal information for ModMount unless ModMount approves a specific process in writing.

Participants must not sell, share, misuse, retain, or repurpose prospect, buyer, customer, or ModMount information for unrelated marketing or any unauthorized purpose.

If a Participant suspects unauthorized access, disclosure, loss, or misuse of prospect, buyer, customer, or ModMount information, the Participant must notify ModMount promptly.

ModMount may share limited referral and payout information with a Participant when needed to explain Commission status, such as referred buyer or business name, plan label, Commission amount, and payout status. Participants do not receive rights to referred buyer accounts, support details, billing details, private customer data, or contract decisions.


17. Suspension And Termination

Either ModMount or the Participant may end participation at any time by written notice.

ModMount may suspend or terminate participation immediately for suspected or confirmed fraud, abuse, legal risk, payment risk, brand risk, data misuse, false claims, missing Tax Setup or Payout Setup, prohibited marketing, self-referrals, related-party referrals, coupon abuse, attribution manipulation, or breach of these terms or the Terms Of Service.

During suspension, ModMount may pause Commissions, payouts, dashboard access, Referral Code use, promotional rights, and other Referral Program activity.

For Referrers, future Commissions require the Client account to remain active, paid, and in Good Standing. Past-due, canceled, suspended, disputed, or terminated Client accounts stop earning future Commissions.

Termination ends future referral rights, Referral Code use, Commission eligibility, promotional rights, dashboard access, and permission to use ModMount intellectual property.

After termination, ModMount may pay eligible Earned Commissions that were properly generated before termination, subject to reconciliation, Clawbacks, disputes, holds, minimum thresholds, Tax Setup, Payout Setup, and prohibited-activity review.

ModMount may withhold or forfeit unpaid Commissions tied to fraud, breach, misattribution, unlawful activity, self-referrals, related-party referrals, coupon abuse, unresolved compliance concerns, or other program risk.


18. Independent Contractor Status

Participants are independent contractors only for Referral Program activity.

Nothing in these terms creates an employment relationship, agency, partnership, joint venture, franchise, fiduciary relationship, representative authority, or authority to bind ModMount.

Participants are responsible for their own marketing methods, expenses, taxes, licenses, insurance, staff, contractors, tools, compliance, and business operations.

Participants may not make commitments, promises, warranties, guarantees, discounts, refunds, service terms, support promises, provider promises, or legal statements on behalf of ModMount.


19. Program Changes

ModMount may change, pause, limit, suspend, or end the Referral Program, Commission rates, eligibility rules, discount rules, payout timing, payout methods, Commission Windows, tracking methods, product eligibility, dashboard access, or program availability.

Material changes generally apply prospectively unless immediate changes are needed for fraud prevention, security, legal compliance, provider requirements, payment risk, abuse prevention, operational necessity, or enforcement of these terms.

Already Earned Commissions remain subject to the terms in effect when earned, plus reconciliation, Clawbacks, Payout Setup, Tax Setup, holds, minimum thresholds, and prohibited-activity review.


20. Liability And Indemnity

To the maximum extent permitted by law, ModMount will not be liable for indirect, incidental, consequential, special, exemplary, punitive, lost-profit, lost-revenue, lost-goodwill, business-interruption, or similar damages arising from the Referral Program.

ModMount’s maximum liability for Referral Program claims is limited to unpaid Payable Commissions owed to the Participant for properly attributed Qualifying Plan Payments during the three months before the event giving rise to the claim, excluding amounts subject to Clawback, dispute, suspension, fraud review, prohibited-activity review, or Payout Setup or Tax Setup holds.

Participants agree to defend, indemnify, and hold harmless ModMount and its owners, employees, contractors, agents, affiliates, and successors from claims, losses, damages, penalties, liabilities, costs, and expenses arising from or related to the Participant’s referral activity, marketing, disclosures, legal violations, tax obligations, data misuse, intellectual-property misuse, unauthorized representations, breach of these terms, breach of the Terms Of Service, or claims caused by the Participant’s conduct.


21. General Terms

Disputes, governing law, venue, informal resolution, assignment, severability, waiver, updates, and general legal terms are governed by the ModMount.io Terms Of Service unless these Referral Program Terms expressly say otherwise.

Participants may not assign, transfer, delegate, sell, or subcontract rights or obligations under these Referral Program Terms without ModMount’s prior written approval.

If any provision is unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent needed to make it enforceable.

These Referral Program Terms, together with the ModMount.io Terms Of Service and any written program-specific terms ModMount provides to the Participant, are the entire agreement for the Referral Program.

Sections involving taxes, Payout Setup, Clawbacks, prohibited activity, intellectual property, data protection, confidentiality, liability, indemnity, disputes, governing law, and payment reconciliation survive termination.


22. Acknowledgement

By completing Activation, using a Referral Code, sharing a Referral Code, accessing a ThriveCart affiliate dashboard, promoting ModMount, or accepting Commission payments, Participant confirms that Participant has read, understood, and agrees to these Referral Program Terms.
